Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the Vocara platform (the “Platform”), operated by Vocara Inc., an Ontario corporation (“Vocara,” “we,” “us,” or “our”).

By creating an account, purchasing a subscription, or using the Platform, you agree to be bound by these Terms.

1. Eligibility

Vocara accounts must be created by individuals who have reached the age of majority in their jurisdiction of residence.

Minors may participate in a Capsule under the supervision and account of a parent or legal guardian. By allowing a minor to access or contribute to a Capsule, the parent or guardian represents that they have authority to consent on the minor’s behalf.

2. Description of Service

Vocara provides a private digital platform that allows users to create and manage a personal “Capsule” for storing stories, photos, videos, audio recordings, documents, legacy information, and other personal content.

Vocara is designed for personal use and controlled sharing at the user’s discretion.

3. Account Responsibility

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity conducted under your account
  • Ensuring your account information remains accurate

Vocara is not responsible for unauthorized access resulting from failure to secure login credentials.

4. User Content & Ownership

All content uploaded to your Capsule remains your property.

Vocara does not claim ownership of your content.

You grant Vocara a limited, non-exclusive license to host, store, and display your content solely for the purpose of operating and providing the Platform.

Capsules are private to the individual. Vocara does not monitor or review content unless required by law.

You agree not to upload unlawful, infringing, harmful, or abusive content.

5. Sensitive Information

Users may include references to financial, legal, or health-related information within their Capsule.

However:

  • Account numbers, passwords, and authentication credentials must not be stored
  • Vocara is not a password manager
  • You are solely responsible for the information you upload

6. Trustees & Access Conditions

Users may designate trustees to access portions of their Capsule under specific conditions.

Trustee access will only be granted after:

  • Submission of a valid obituary or death certificate
  • Verification by the Vocara team

Vocara reserves the right to request additional documentation for verification purposes.

Vocara is not responsible for disputes between family members, trustees, or third parties regarding access.

7. Subscriptions & Billing

Vocara offers monthly and annual subscription plans. Gifting is available as a one-year subscription only.

Payments are processed securely through Stripe. Vocara does not store credit card information.

Subscriptions renew automatically at the end of each billing period unless canceled.

You may cancel your subscription at any time. Access continues through the end of your current billing period.

8. Cancellation & Data Retention

If you cancel your subscription:

  • Your Capsule will remain securely stored for three (3) months
  • You may reactivate your subscription during that period

If your subscription is not reactivated within three (3) months, your Capsule and its contents may be permanently deleted in accordance with our data retention practices.

9. Long-Term Preservation

Vocara is designed for long-term preservation of digital memories and legacy content.

However, we do not guarantee indefinite or perpetual availability of the Platform or stored content. Continued access requires an active subscription and remains subject to technological, operational, and legal factors beyond our control.

10. Data Export

Users may download or export their content at any time during an active subscription.

11. Intellectual Property

All rights, title, and interest in the Platform, including software, branding, design, and technology, are owned by Vocara Inc.

You may not copy, modify, distribute, reverse engineer, or create derivative works based on the Platform.

12. Limitation of Liability

To the fullest extent permitted by law, Vocara shall not be liable for:

  • Loss of data
  • Service interruptions
  • Unauthorized access
  • Disputes between users and third parties
  • Indirect, incidental, consequential, or emotional damages

Vocara’s total liability shall not exceed the amount paid by you to Vocara in the twelve (12) months preceding any claim.

13. Indemnification

You agree to indemnify and hold harmless Vocara from any claims, damages, or expenses arising from:

  • Content you upload
  • Your misuse of the Platform
  • Your violation of these Terms

14. International Users

Vocara operates internationally. By using the Platform, you agree that your data may be processed in jurisdictions outside your country of residence, including Canada.

15. Governing Law

These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles.

You agree to submit to the exclusive jurisdiction of the courts of Ontario, Canada.

16. Changes to These Terms

Vocara may update these Terms from time to time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
